PlanetaEXO Partner Program – Terms & Conditions

These Terms & Conditions (“Partner T&Cs”) outline the terms of participation in the PlanetaEXO Partner Program (the “Program”). By registering for the Program through the designated link, using affiliate links or coupon codes provided by PlanetaEXO, or otherwise promoting PlanetaEXO packages, you acknowledge and expressly agree that such registration or participation constitutes full and binding acceptance of these Partner T&Cs.

We’re pleased to welcome you as a prospective partner. The following sections describe how the Program operates, the commitments we make to you, and the obligations you agree to fulfill as part of this partnership.

1. Why this Program exists

1.1 At PlanetaEXO, our mission is to make extraordinary travel experiences more accessible. Through this Program:

  • Your audience enjoys a 5% discount on our packages when they use your coupon.
  • You receive a 5% commission on the Net Package Price of every completed booking attributed to your link or coupon.

This is designed to be a mutually beneficial collaboration — your audience saves, you earn, and together we help more people explore.

2. Background & Scope

2.1 What we do. PlanetaEXO curates and sells travel experiences and package combinations (“Packages”) via its websites, landing pages, and other channels (“PlanetaEXO Platform”).

2.2 What you do. The Partner operates one or more blogs, websites, apps, newsletters, or social media channels, or otherwise creates content for an audience (“Partner Platform”). As part of this Program, Partners may promote PlanetaEXO Packages using unique tracking links and/or coupon codes issued by PlanetaEXO (“Partner Assets”).

2.3 Program purpose. The Parties wish to collaborate so that Partner can recommend PlanetaEXO to its audience and earn remuneration for completed, eligible sales tracked to the Partner, subject to these Partner T&Cs.

3. Key Definitions

For clarity, the following terms are used throughout these Partner T&Cs:

  • Audience Discount: A 5% discount applied to a Package when a customer uses the Partner’s valid coupon code at checkout.
  • Partner Commission: A 5% commission paid to the Partner, calculated on the Net Package Price of each Eligible Completed Booking attributed to the Partner.
  • Eligible Completed Booking: A booking that (a) is placed via the Partner’s link and/or coupon, (b) has been paid in full, (c) has not been canceled or refunded, and (d) has been fulfilled (trip taken or service delivered) and confirmed complete by PlanetaEXO or its suppliers.
  • Net Package Price: The total price actually paid by the customer, excluding taxes, payment processing fees, shipping or delivery fees (if any), third-party service fees, chargebacks, discounts (including the 5% Audience Discount), refunds, and canceled portions.
  • Transaction: A single completed checkout on the PlanetaEXO Platform; if multiple Packages are bought together with a valid Partner coupon, the Audience Discount and Partner Commission apply to the combined total, while separate purchases at different times are calculated individually.
  • PlanetaEXO Platform: The websites, landing pages, and other digital channels operated by PlanetaEXO through which Packages are marketed and sold.
  • Partner Platform: The websites, blogs, newsletters, apps, or social media channels operated by the Partner where Partner Assets are placed and PlanetaEXO Packages are promoted.
  • Packages: The travel experiences, curated trips, or package combinations sold by PlanetaEXO via the PlanetaEXO Platform.
  • Partner Assets: Tracking links, UTMs, widgets, and coupon codes issued by PlanetaEXO to identify traffic, referrals, and sales generated by the Partner.
  • Tracking Window: The attribution period applied to sales when a Partner Asset is used, as specified in Exhibit A or communicated through the Partner dashboard.
  • Minimum Payout Threshold: The minimum commission balance required for a payout, as set forth in §7.4 of these Partner T&Cs.
  • Personal Data: Any information relating to an identified or identifiable natural person, as defined under applicable data protection laws, including the Brazilian LGPD (Lei nº 13.709/2018) and the GDPR (EU Regulation 2016/679).
  • GDPR: The General Data Protection Regulation (EU Regulation 2016/679), applicable to the processing of Personal Data of individuals located in the European Union.

4. Enrollment & Account

4.1 Personal information. You provide accurate business, tax, and payment details (including legal name, address, and payout information). You agree to keep these details up-to-date.

4.2 Application. We may approve or decline any application at our discretion

4.3 Account security. You’re responsible for maintaining the confidentiality of any credentials we provide and for all activity under your account. Notify us promptly of any suspected unauthorized access.

4.4 Independent contractor. You act as an independent contractor, not our employee, agent, or representative. You’re responsible for your own taxes and compliance obligations.

5. Partner Responsibilities

5.1 Honest promotion & standards. Together, we want to provide a positive experience for all travelers. For this reason, please present our packages accurately and avoid misleading claims. Content should remain lawful, respectful, and suitable for international audiences.

5.2 Transparency. All promotions must include the disclosures required by European advertising and consumer protection regulations, such as indicating clearly that your recommendation includes a commercial link (e.g., “advertisement,” “sponsored,” or equivalent).

5.3 Brand use. You may use our logos and brand names only as we allow, and never in ways that could confuse users or harm our reputation.

5.4 Prohibited conduct. We encourage creativity in how you promote PlanetaEXO. To ensure fairness and consistency across all partners, please avoid the following practices:

  • Bidding on PlanetaEXO trademarks in paid search.
  • Cookie stuffing, bots, or fake clicks.
  • Publishing hateful, discriminatory, or unlawful content.
  • Impersonating PlanetaEXO or suggesting you officially represent us.

6. PlanetaEXO Responsibilities

6.1 Partner support. We’ll provide your Partner Assets and transparent access to reporting showing clicks, tracked sales, and status of Eligible Completed Bookings. We will provide you with links, codes, and reporting tools. We will promptly support you in all the application and duration of the program, aiming to provide our best support.

6.2 Customer service. PlanetaEXO (or its suppliers) will take care of customer support for bookings, so you can focus on what you do best: engaging your audience and inspiring travel.

6.3 Payments. We pay commissions promptly and transparently, as described in the next section.

7. Remuneration (Commission) & Payments

7.1 Rates.

  • Audience Discount: 5% off when your coupon is used at checkout.
  • Partner Commission: 5% of the Net Package Price for each Eligible Completed Booking attributed to your Partner Assets.

7.1.1 The standard Partner Commission is calculated as a percentage of the Net Package Price for each Eligible Completed Booking, as specified in the following section, Section 7. PlanetaExo reserves the right to modify the applicable commission rates by providing at least ninety (90) days prior written notice.

7.2 Calculation of Discount and Commission.

(a) When a customer purchases multiple Packages in a single transaction using a valid Partner coupon, the Audience Discount applies to the total value of that transaction, and Partner Commission is calculated on the Net Package Price of the combined total.

(b) When a customer makes separate transactions at different times, the Audience Discount and Partner Commission are calculated separately for each individual booking.

7.3 Attribution. We attribute sales by last-click tracking link and/or valid coupon code entry, according to our systems. If multiple affiliates are involved, our systems determine final attribution. Offline sales without your code or link generally won’t qualify.

7.4 Payment schedule. Commission is accrued only after a booking becomes an Eligible Completed Booking. We pay monthly, consolidating Eligible Completed Bookings confirmed in the prior calendar month. Payments are typically issued by the 15th of the following month.

7.5 Threshold. The default minimum payout is R$ 1.500 (approx. €238.35 / US$282.45, subject to change based on the bank exchange rate). Balances below this roll over to the next cycle.

7.6 Payment method. Payments are made via IBAN bank transfer as previously agreed with you. PlanetaEXO covers the outgoing transfer fee; you cover any incoming/bank/intermediary fees.

7.7 Adjustments. In the event of refunds, chargebacks, cancellations, no-shows, or fraudulent transactions, any commission associated with the affected booking will be suspended until the matter is conclusively resolved. If a refund is issued by the Supplier or PlanetaExo, the corresponding commission will be deducted from your subsequent payments. Should future commission payments be insufficient to cover such deductions, you agree to settle the outstanding balance within thirty (30) days of receiving written notice. No interest or additional compensation will accrue in connection with delayed or adjusted payments.

7.8 Taxes. Please note that you are responsible for complying with all applicable tax obligations in your country of residence or fiscal domicile, including income tax, social contributions, and VAT (where applicable). PlanetaEXO may, where necessary, request supporting documentation to verify compliance.

8. Intellectual Property

8.1 Your IP. You retain rights in your content. You grant PlanetaEXO a non-exclusive, worldwide, royalty-free license to reference and display your public content (e.g., screenshots of posts featuring PlanetaEXO) for Program marketing and case studies, as long as we credit you and don’t alter your content in a misleading way. You can revoke this license for future uses by written notice.

8.2 Our IP. All rights in PlanetaEXO trademarks, logos, content, software, and the PlanetaEXO Platform belong to PlanetaEXO or its licensors. You receive a limited, non-exclusive, non-transferable license to use these solely for the purpose of participating in the Program.

9. Data Protection

9.1 Compliance. Both Parties act as independent data controllers under the General Data Protection Regulation (GDPR). Each Party commits to processing personal data lawfully and securely.

9.2 Sharing & minimization. We share only what’s necessary to administer tracking and payouts (e.g., order IDs, timestamps, amounts). You must not attempt to access customer payment data or other data you’re not authorized to receive.

9.3 Security. Both Parties will adopt appropriate technical and organizational measures to prevent unauthorized access or misuse of personal data. Each Party will promptly notify the other of any confirmed incident affecting Personal Data processed under these T&Cs, consistent with legal obligations.

10. Publicity & Marketing Standards

10.1 Quality bar. Keep your content high-quality, accurate, and up-to-date. Correct errors promptly upon our request.

10.2 No spam. Comply with anti-spam laws. Do not send unsolicited communications or place Partner Assets in adware/toolbars.

10.3 Platform rules. Follow the rules of platforms where you publish (e.g., Meta, Google, TikTok, X), including restrictions on targeting and brand usage.

11. Term & Termination

11.1 Start. These T&Cs apply once you’re accepted into the Program and continue until terminated.

11.2 Without cause. Either Party may end the partnership with 30 days’ notice.

11.3 With cause. We may suspend or terminate immediately if you materially breach these T&Cs (including prohibited conduct, fraud, brand misuse, or non-payment of negative balances) or if required by law or platform policy. Where curable, we may allow up to 10 days to cure at our discretion. While we hope this will never be necessary, these safeguards help us ensure the Program runs smoothly for everyone involved.

11.4 After termination. On termination you must promptly remove Partner Assets and our Brand Elements, stop representing affiliation, and cease new promotions. We’ll pay any undisputed, earned commission for Eligible Completed Bookings per Section 7, subject to standard adjustments. The following provisions will survive termination: §7.3–7.7 (Payments, Adjustments, Taxes), §8 (Intellectual Property), §9 (Data Protection), §12 (Limitation of Liability), §13 (Warranties & Disclaimers), and §15 (Miscellaneous).

12. Limitation of Liability

12.1 No indirect damages. Neither Party is liable for indirect, incidental, special, consequential, punitive, or loss-of-profit damages arising out of or related to the Program.

12.2 Cap. Except for your indemnification obligations, IP infringement, or your fraud/willful misconduct, each Party’s aggregate liability under these T&Cs will not exceed the total commission paid or payable to Partner in the six (6) months preceding the claim.

13. Warranties & Disclaimers

13.1 Mutual. Each Party warrants it has the right and authority to enter into these T&Cs.

13.2 Partner warranties. You warrant your content and promotions (a) are lawful and non-infringing, (b) comply with these T&Cs and platform rules, and (c) include required disclosures.

13.3 Disclaimer. The Program, reporting dashboards, and PlanetaEXO Platform are provided “as is”. To the fullest extent permitted by law, we disclaim all implied warranties (merchantability, fitness, non-infringement). We don’t guarantee uninterrupted availability or error-free tracking.

14. Changes to the Program or T&Cs

We’ll notify you by email of any changes. These changes will take effect 90 days after notice (unless a longer period is required by law). If you do not agree, you may terminate the agreement under Section 11.2. By continuing to participate after the effective date, you accept the updated terms.

15. Miscellaneous

15.1 Non-exclusivity. The Program is non-exclusive for both Parties.

15.2 Assignment. You may not assign or transfer these T&Cs without our prior written consent. We may assign to an affiliate or in connection with a merger, reorganization, or sale of assets.

15.3 Severability. If any provision is unenforceable, the remainder remains in effect, and the Parties will replace the invalid term with one that most closely reflects the original intent.

15.4 Notices. Formal notices must be in writing and sent to the contacts on file. Program support: affiliates@planetaexo.com. 

15.5 Governing law & venue. These T&Cs are governed by the laws of Brazil. The Parties elect the courts of São Paulo/SP, Brazil as the exclusive venue, waiving any other, however privileged.

15.6 Language. These Partner T&Cs are drafted in English. Translations may be provided for convenience, but in case of inconsistencies or disputes, the English version will prevail.

Exhibit A – Practical Rules for Links, Coupons & Attribution

To make our collaboration smooth and successful, please follow these practical rules when using Partner Assets. A Partner Guide (digital brochure) with examples, visuals, and best practices will also be provided to you promptly after enrollment.

A1. Tracking & Attribution

  • Last-click attribution: Unless otherwise stated in your Partner dashboard or a specific campaign, sales are attributed to the last valid click or coupon code used at checkout.
  • Coupon priority: If both a link and coupon are used, attribution may follow coupon use when clearly tied to your Partner ID.
  • Tracking window: By default, a cookie-based tracking period applies (details may be updated in your Partner Guide).

A2. Permitted Placements

You may place Partner Assets in the following locations, provided they respect all platform rules and these T&Cs:

  • Your own websites, blogs, or apps.
  • Your personal or business social media profiles (e.g., Instagram, TikTok, YouTube, X, LinkedIn).
  • Newsletters, provided they are opt-in only.
  • Partner pages or platforms that PlanetaEXO has approved in writing.

Restrictions:

  • Paid search/social may not bid on or include PlanetaEXO trademarks, confusing variations, or misspellings.
  • Assets may not be placed in adware, pop-ups, or browser toolbars.

A3. Content Standards

  • Always include an honest and prominent disclosure (e.g., “This post contains an affiliate link. I may earn commission if you book with my code.”).
  • Keep pricing or package details accurate – avoid statements like “lowest price anywhere” unless explicitly confirmed.
  • All links placed by Partners must use the dofollow attribute (standard hyperlinks that allow search engines to follow and pass SEO value). Links marked as nofollow (which block this) will not be eligible under the Program.
  • Outdated content must be updated or removed within 48 hours of our request.
  • Content must remain lawful, respectful, and suitable for international audiences.
  • Content may be created and published in English or in other languages suitable for your audience, provided it remains accurate, respectful, and compliant with these T&Cs.

A4. Fraud & Invalid Activity

The following are considered invalid and will not generate commission:

  • Self-purchases that violate the Program rules.
  • Automated traffic, bots, or click injection.
  • Coupon abuse or sharing in unauthorized coupon forums.
  • Any attempt to artificially inflate clicks or bookings.

PlanetaEXO reserves the right to audit traffic and suspend payments if fraudulent activity is detected.

A5. Use of PlanetaEXO Brand & Assets

  • Use only the official logos, brand files, and materials we provide in the Partner Guide.
  • Do not stretch, distort, recolor, or materially alter logos.
  • Do not combine PlanetaEXO marks with your own into a single logo or co-brand without approval.
  • Always present the PlanetaEXO brand in a respectful way, consistent with our identity and values.

16. Acknowledgment & Acceptance

16.1 By enrolling in and participating in the PlanetaEXO Partner Program through the registration link provided by PlanetaEXO, the Partner confirms that they have carefully read, fully understood, and expressly agree to comply with and be bound by these Partner T&Cs.

16.2 The Partner acknowledges that these Partner T&Cs constitute a binding legal agreement between the Parties and govern the entirety of their participation in the Program. The Partner further acknowledges that they have had the opportunity to review these terms and seek independent advice, if desired, before accepting them.

16.3 By completing registration through the designated link, the Partner confirms their acceptance of and agreement to all provisions contained in these Partner T&Cs, which shall have the same legal effect as a physically signed agreement.
